Terms of Service

Welcome to IT Bulks ("Platform", "we", "us", or "our"). These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between you (the "User", "Member", "Company") and IT Bulks regarding your access to and use of the IT Bulks platform, including the Live Market, Global Network, and all associated services (collectively, the "Services").

By applying for membership, accessing, or using the Platform, you expressly acknowledge and agree to be bound by this Agreement. If you do not agree to these Terms, you must not use our Services.

1. Definitions

• Platform: The B2B online marketplace and directory operated by IT Bulks.
• User/Member: Any individual or registered business entity utilizing the Platform.
• Broadcast: Any listing (WTS - Want to Sell, WTB - Want to Buy, RFQ - Request for Quote) posted on the Live Market.

2. Role of IT Bulks (Strict Disclaimer of Transaction Liability)

2.1 Intermediary Venue Only

IT Bulks is purely a B2B informational venue and facilitation platform designed to connect IT hardware professionals. IT Bulks is NOT a party to any sales contract, negotiation, or transaction concluded between Users.

2.2 No Guarantee or Endorsement

We do not own, possess, inspect, or control any of the hardware, software, or services listed on the Platform. IT Bulks strictly disclaims any liability regarding the quality, legality, authenticity, condition, or delivery of products, as well as the financial capacity or true identity of the Users, despite any KYC/KYB (Know Your Business) verification badges displayed.

2.3 User Responsibility

All transactions are conducted strictly at the User's own risk. Users are solely responsible for performing their own due diligence before entering into any agreement, transferring funds, or shipping goods.

3. Membership & The Platform's Supreme Authority

3.1 Strict Admission

IT Bulks is a closed B2B network. We only accept verified IT hardware traders, refurbishers, wholesalers, and verified logistics providers.

3.2 Absolute Discretion

IT Bulks reserves the right, in its sole and absolute discretion, to approve, deny, suspend, or permanently terminate any membership, at any time, for any reason, or no reason at all, without prior notice or justification.

3.3 Competitors Prohibited

Employees, agents, or affiliates of competing IT brokering sites or sourcing platforms are strictly prohibited from accessing IT Bulks. Unauthorized access will result in immediate termination and potential legal prosecution.

3.4 Account Security

The User is completely responsible for maintaining the confidentiality of their login credentials. Transferring or sharing accounts with third parties is strictly prohibited.

4. Member Conduct and Market Integrity

Users must conduct business in an ethical, professional, and lawful manner. By using the Platform, you strictly agree NOT to:

• Phantom Inventory: Post "WTS" (Want to Sell) broadcasts for items you do not physically possess or have exclusive rights to sell immediately.
• Misrepresentation: Post false, misleading, or inaccurate descriptions regarding the condition, brand, or quantity of your hardware.
• Data Scraping: Use any robot, spider, scraper, or automated means to extract data, prices, or company directories from the Platform.
• Bypassing Security: Attempt to gain unauthorized access to our infrastructure or interfere with the proper functioning of the Platform.

IT Bulks reserves the right to immediately delete any Broadcast or restrict any User that violates these rules without notice.

5. Fees, Billing, and Subscriptions

5.1 Non-Refundable

All subscription fees are billed in advance and are strictly non-refundable under any circumstances, including but not limited to the suspension or termination of your account by IT Bulks for violating these Terms.

5.2 Payment Terms

If a User fails to fulfill payment obligations, their account will be suspended automatically. The User agrees to be liable for all reasonable collection and legal fees incurred by IT Bulks to collect unpaid balances.

6. Termination and Suspension

6.1 By IT Bulks

In the event IT Bulks detects fraudulent activity, unethical behavior, spamming, or any violation of this Agreement, IT Bulks will immediately suspend or terminate the User's access. The act of suspension itself serves as sufficient notice.

6.2 By User

You may terminate your subscription by providing written notice prior to your next billing cycle. No prorated refunds will be issued.

7. Disputes Between Users

7.1 No Mediation Obligation

Any dispute, claim, or legal conflict arising from a transaction is strictly between the involved Users. IT Bulks is completely absolved of any responsibility to intervene.

7.2 Reporting

While IT Bulks may provide a "Report" feature to flag bad actors to maintain network integrity, IT Bulks is under no legal obligation to mediate, investigate, or resolve complaints regarding product grading, unpaid invoices, or shipping delays.

8. Limitation of Liability

You agree to indemnify, defend, and hold harmless IT Bulks, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal and attorneys' fees) arising out of or connected with: (i) your access to or use of the Services; (ii) your violation of these Terms; or (iii) your infringement of any third-party right, including intellectual property or transactional disputes.

10. Intellectual Property & Confidentiality

All content, software, databases, Trust Score algorithms, UI designs, and directories on the Platform are the exclusive intellectual property of IT Bulks. You are granted a limited, revocable license to use the Platform. You may not copy, reproduce, or distribute any part of the Platform.

11. Modifications to the Agreement

IT Bulks reserves the right to modify these Terms at any time. We will notify Users of significant changes. Continued use of the Platform after changes are posted constitutes your binding acceptance of the new Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any legal actions or disputes arising from the use of the Platform itself (not user-to-user transactions) shall be subject to the exclusive jurisdiction of the courts located in Sharjah.
